Mitsui & Co. has disclosed that its U.S. real estate subsidiaries MBK Homes LLC and MBK Rental Living LLC became specified subsidiaries after a capital increase on October 6, 2023, which lifted each entity’s capital to at least 10% of Mitsui’s own. Both California-based companies, fully owned through MBK Real Estate LLC, develop and lease rental housing in the U.S., and their enlarged capital bases underscore Mitsui’s ongoing commitment to the American residential rental market.

The company admitted that it failed to make the required timely disclosure when the subsidiaries met the regulatory threshold and has issued an apology for the delay. While the strengthened capitalization formalizes their status as specified subsidiaries under Japanese disclosure rules, Mitsui stated that the move has no impact on its consolidated financial results for the fiscal year ending March 2027, signaling limited immediate financial effect but reinforcing governance and transparency obligations for stakeholders.
