Noble Corporation Issues New Senior Unsecured Notes Offering

Noble Corporation ( (NE) ) has provided an update.

On June 11, 2026, Noble Finance II LLC, a wholly owned subsidiary of Noble Corporation, issued $800 million of 6.250% senior unsecured notes due June 15, 2034, under a new indenture with HSBC Bank USA as trustee. The notes, guaranteed by certain subsidiaries, carry semi-annual interest payments starting December 15, 2026, and include a detailed schedule of optional redemption provisions, including equity-funded redemptions and make-whole redemptions before June 15, 2029.

The indenture also provides that, upon a change of control triggering event, holders may require the issuer to repurchase their notes at 101% of principal plus accrued interest. It further imposes restrictive covenants on additional indebtedness, liens, distributions, investments, asset sales, mergers and affiliate transactions, and sets customary events of default that allow the trustee or a qualified noteholder group to accelerate the debt, shaping Noble’s future capital structure and creditor protections.
