Braskem SA ( (BAK) ) has provided an update.
On April 19, 2026, Braskem disclosed that controlling shareholder Novonor and its affiliate NSP Investimentos signed a Judicial Share Purchase and Sale Agreement on April 17, 2026 with Shine I private equity funds managed by Vórtx Capital, to sell 226.3 million common and 47.3 million class A preferred shares in Braskem. The transaction would transfer roughly 50.1% of Braskem’s voting capital and 34.3% of total capital to the Shine I fund, leaving NSP Investimentos with a residual 4% stake in non-governance preferred stock.
Payment will be made through the transfer of large debenture positions issued by NSP Investimentos, effectively swapping Braskem equity control for debt securities previously held by the funds. Closing is contingent on court approvals in Novonor’s judicial recovery, antitrust clearances, and Petrobras not exercising its contractual right of first refusal and tag-along rights under the shareholders’ agreement.
The buyer undertook to seek registration of a mandatory public tender offer in Brazil for up to all remaining common and preferred shares of Braskem, giving minority shareholders an exit at the same economic terms as the control transaction. Until completion, Novonor stated it will continue to act in Braskem’s best interests, but if consummated the deal would mark a major change in Braskem’s control structure and could reshape its governance and shareholder base.
