On April 30, 2026, Ambev held its ordinary and extraordinary general shareholders’ meetings in a fully digital format, with more than 92% of voting capital represented, to vote on 2025 financials and key governance matters. Shareholders approved the management report and financial statements for the year ended December 31, 2025, confirming prior publication of the audited results and reinforcing confidence in the company’s oversight structures.

Investors also endorsed the allocation of R$17.99 billion in 2025 profits and related amounts, directing roughly R$10.9 billion to interest on capital and dividends, R$228.2 million to tax incentive reserves and R$6.85 billion to investment reserves, while adjusting 2024 reserve allocations approved at the 2025 meeting. In addition, they set the board size at nine effective and two alternate members and re-elected several directors for a term running until the 2029 annual meeting, signaling continuity in Ambev’s long-term governance and capital allocation strategy.
