On December 8, 2025, First Majestic Silver Corp. closed a private placement of US$350 million in unsecured convertible senior notes due 2031, following earlier announcements on December 3, 2025 about the launch and pricing of the offering and an upsized over-allotment option. The notes carry a low cash interest rate of 0.125% per year and are initially convertible at 44.7227 common shares per US$1,000 principal amount, implying a conversion price of about US$22.36 per share, with standard adjustment provisions. A portion of the net proceeds was used to repurchase approximately US$174.7 million in principal of the company’s existing 0.375% convertible senior notes for about US$214.7 million in privately negotiated transactions, effectively refinancing part of its outstanding debt on new terms and extending its maturity profile, which may improve balance-sheet flexibility and support future corporate and strategic opportunities.
