On January 2, 2026, Apartment Investment and Management Company (Aimco) called a special stockholders’ meeting for February 6, 2026, seeking approval of a comprehensive Plan of Sale and Liquidation that would result in the sale or disposition of all remaining company assets, an orderly wind-down of operations and the voluntary dissolution of the company. The board, advised by Morgan Stanley and Wachtell, Lipton, Rosen & Katz, concluded a strategic review begun in January 2025 and, in November 2025, unanimously determined that liquidation was in the best interests of stockholders after considering the disparate nature of Aimco’s remaining asset base and market feedback. If stockholders approve the liquidation proposal, Aimco plans to return net proceeds from completed and pending asset sales, including the closed sale of its Brickell Assemblage and contracted sales of its Chicago portfolio and Hillmeade and Plantation Gardens properties, plus cash on hand, with current estimates indicating total distributions of $5.75 to $7.10 per share on its common stock—rising to an aggregate $8.58 to $9.93 per share when combined with $2.83 per share in special dividends already paid in 2025—though final timing and amounts will depend on market conditions, board discretion and legal requirements. The meeting will also include a non-binding advisory vote on executive compensation related to the liquidation and a proposal to permit adjournments if additional time is needed to secure sufficient votes, underscoring the high approval threshold of two-thirds of outstanding shares required to complete the wind-down, which has significant implications for shareholders’ recovery and the company’s exit from the public REIT landscape.

Spark’s Take on AIV Stock

According to Spark, TipRanks’ AI Analyst, AIV is a Neutral.

The score is held down primarily by weak financial performance (leverage risk, inconsistent profitability, and negative free cash flow with earnings boosted by one-time gains). Technicals are modestly supportive and recent asset-sale/liquidation actions add a positive catalyst, while valuation is mixed due to a negative P/E despite a high dividend yield.
