On June 8, 2026, ATI Inc. completed an offering of $450 million in unsecured 5.875% senior notes due June 15, 2033, issued under its existing indenture structure and shelf registration with the SEC. The notes pay cash interest semi-annually starting December 15, 2026, and include a range of optional redemption features, including make-whole provisions before June 15, 2029, step-down call prices thereafter, and an equity-claw option for up to 35% of the issuance, with standard acceleration in the event of default.
The transaction followed an underwriting agreement executed on June 3, 2026, with Goldman Sachs & Co. LLC as representative of the underwriters, under which ATI agreed to customary indemnification and contribution obligations related to securities law liabilities. The completed debt sale enhances ATI’s access to long-term capital, potentially strengthening its liquidity and financial flexibility while formalizing standard protections and remedies for noteholders in case of credit deterioration or insolvency events.
