The analyst notes that prolonged merger-related uncertainty could trigger departures of experienced managers and other key employees at AvalonBay and Equity Residential. Such turnover, or difficulty in attracting and motivating replacements, may impair strategic execution, weaken operational performance, and ultimately reduce the value and resilience of the combined company or AvalonBay alone if the Merger fails.
He also observes that employees’ concerns about future roles and organizational structure may dampen engagement and productivity ahead of closing. If the combined entity cannot maintain talent at historical levels, investor confidence in management’s ability to deliver projected synergies and long‑term growth could be materially undermined, increasing operational and integration risk.
