AvalonBay ( (AVB) ) has issued an announcement.
On August 12, 2026, AvalonBay Communities and Equity Residential shareholders overwhelmingly approved all proposals required to complete their previously announced merger of equals, with more than 99% of votes cast in favor at each company’s special meeting. The strong support, representing about 90% of outstanding shares at both firms as of the record date, clears a key governance hurdle and underscores investor backing for consolidation among large U.S. multifamily REITs.
The transaction is expected to close on August 17, 2026, after which AvalonBay shares will convert into the right to receive 2.793 Equity Residential common shares and the combined company will be renamed Vivmark Residential, trading on the NYSE under the ticker VMRK from August 18, 2026. The merger will create a scaled landlord with a broadened footprint across coastal and high-growth Sunbelt and Mountain markets, potentially reshaping competitive dynamics in the apartment REIT sector and affecting tenants, investors and capital allocation across the combined portfolio.
