Banco Bradesco SA ( (BBD) ) just unveiled an announcement.
On February 26, 2026, Banco Bradesco and its subsidiaries Bradseg Participações and Bradesco Gestão de Saúde, together with Odontoprev, agreed on a multi-step corporate reorganization to consolidate Bradesco’s healthcare-related equity interests and Odontoprev’s businesses under Odontoprev. The plan includes a partial spin-off of Bradseg to transfer Odontoprev and BGS shares to Bradesco, a merger of BGS shares into Odontoprev at market value, and the subsequent contribution of Odontoprev’s dental portfolio and operating assets to Mediservice, an ANS-authorized operator.
After all steps are completed and conditions precedent are met, Odontoprev will become the consolidator of Bradesco’s healthcare ecosystem, be renamed Bradsaúde S.A., and operate primarily as a holding company, while Mediservice will assume the direct operation of dental activities for greater efficiency and integration. Bradesco will receive 2,378,374,445 new Odontoprev shares in exchange for its BGS shares, implying that Odontoprev’s business represents about 18.65% of the combined healthcare ecosystem and leaving Bradesco with 91.35% of Odontoprev’s capital and free-float shareholders with 8.65%, with governance standards aligned to B3’s Novo Mercado; terms, including the exchange ratio, were negotiated with an independent committee formed by Odontoprev’s board in January 2026.
