Allbirds ( (BIRD) ) has provided an update.
On March 29–30, 2026, Allbirds entered into a definitive asset purchase agreement with Allbirds IP LLC, an affiliate of American Exchange Group, under which AXNY will acquire substantially all of Allbirds’ intellectual property and certain other assets and liabilities for an estimated $39 million in cash, subject to adjustments. The deal, unanimously approved by the board and negotiated by a special committee, requires stockholder approval, includes customary escrow and termination provisions, and led the company to cancel its March 31, 2026 fourth-quarter and full-year 2025 earnings call, though it still plans to file its Form 10-K.
Contingent on shareholder approval of the asset sale and a formal dissolution plan, Allbirds intends to file a certificate of dissolution in Delaware, wind up over a three-year period, and distribute net proceeds from the transaction and any remaining assets to stockholders, subject to reserves for liabilities and wind-down costs. The transaction, expected to close in the second quarter of 2026 with potential distributions in the third quarter, effectively marks the end of Allbirds as a standalone public operating company while positioning the brand’s IP under AXNY’s broader accessories and brand-management platform, with implications for equity holders who face uncertain timing and size of liquidation payouts.
