Borealis Foods ( (BRLS) ) has provided an update.
Borealis Foods disclosed that on April 17, 2026 it received a deficiency notice from Nasdaq after failing to timely file its Annual Report on Form 10-K for the year ended Dec. 31, 2025, as required under Listing Rule 5250(c)(1). The notice does not immediately affect trading of its shares, but the company must submit a compliance plan by June 16, 2026, with a potential cure period extending to Oct. 12, 2026, meaning the filing delay now represents a near-term governance and listing-risk overhang for investors.
The company has stated it plans to complete and file the delayed 2025 Form 10-K by May 2026, which it believes would resolve the Nasdaq deficiency and restore compliance.
