Webull Ends $1 Billion Standby Equity Facility With Yorkville

Webull Corporation ( (BULL) ) just unveiled an announcement.

Webull Corporation said on April 7, 2026 that it has terminated its standby equity purchase agreement with YA II PN, Ltd. (Yorkville), originally signed on July 1, 2025. The notice of termination was delivered on April 1 and became effective on April 6, with no outstanding advance notices, no further shares to be issued, and no amounts owed by either party at the time of termination.

Under the facility, Webull had the ability to issue up to $1.0 billion in Class A ordinary shares but ultimately sold 11.5 million shares to Yorkville, raising $173.2 million before ceasing use of the program in September 2025. Ending the agreement removes a potential future source of equity financing and associated dilution, signaling that Webull has concluded its use of this capital-raising structure without residual obligations to the counterparty.
