On March 23, 2026, Emera US Finance, an indirect wholly owned subsidiary of Emera, completed a US$750 million offering of U.S. dollar-denominated fixed-to-fixed reset rate junior subordinated notes maturing in 2056. The issuance, split evenly between 6.650% Series A notes and 6.850% Series B notes, is fully and unconditionally guaranteed on a subordinated basis by Emera and Emera US Holdings, and interest can be deferred for up to 20 consecutive semi-annual periods.
The notes will not be listed on any securities exchange and were sold under U.S. registration, with distribution in Canada restricted to exempt transactions and not for general public offering. Emera plans to use the net proceeds for general corporate purposes, including repayment of existing indebtedness, a move that should bolster its financial flexibility and support ongoing capital needs in its regulated utility operations.
