Equity Residential ( (EQR) ) has shared an update.
Equity Residential has agreed to a $56 million settlement, signed on April 13, 2026, to resolve consolidated class action claims alleging it participated, alongside RealPage, Inc. and other large multifamily landlords, in antitrust violations tied to revenue management software and inflated rents. The settlement, which includes payments to class members, legal fees and administration costs and requires certain ongoing commitments around data use and software practices, remains subject to court approval and, if finalized, is expected to reduce 2026 GAAP earnings and Nareit FFO but not Normalized FFO, while avoiding prolonged litigation, limiting legal uncertainty and not materially affecting liquidity, credit ratings or operations.
The company will record an increased loss contingency reserve in its first-quarter 2026 financial statements to reflect all expected costs of resolving the class action, with the adjustment flowing through other expenses and other liabilities. Equity Residential, which does not expect insurance to cover the settlement and plans for the settlement fund to bear any related tax burden, continues to deny liability and notes that if the court rejects or materially alters the deal, or if too many class members opt out, the agreement may be terminated and the company says it will vigorously defend itself, including in a separate, similar case brought by the District of Columbia.
