Flowers Foods Enters New Term Loan, Amends Credit Facility

On April 6, 2026, Flowers Foods entered into a $400 million senior unsecured delayed draw term loan facility to refinance its $400 million 3.500% senior notes maturing in October 2026, with proceeds earmarked for full repayment of those notes and related transaction costs. The three-year, SOFR- or base rate-linked facility includes leverage- and rating-based pricing, customary covenants and events of default, and financial tests on leverage and interest coverage, while requiring subsidiary guarantees only if the company’s debt rating deteriorates.

Also on April 6, 2026, Flowers Foods amended its revolving credit facility to extend an existing leverage covenant holiday through the fiscal quarter ending October 9, 2027, and to align pricing tiers and other terms with the new term loan facility. The moves collectively enhance the company’s near-term financial flexibility ahead of the 2026 note maturity, preserve covenant breathing room that can support acquisitions or investments, and maintain diversified bank relationships that continue to provide a range of financing and advisory services.
