Fonar ( (FONR) ) has provided an update.
Fonar and its parent entity have entered into a new credit agreement with OceanFirst Bank, securing a $20 million term loan and a $15 million revolving credit facility, backed by first-priority liens on substantially all assets of the borrowers and guarantor subsidiaries. This financing is expected to support the company’s capital needs and balance sheet flexibility as it transitions under new ownership following the merger.
At the effective time of the merger, all outstanding shares of Fonar’s common, Class B, Class C and Class A non-voting preferred stock, other than excluded and appraisal shares, were cancelled and converted into cash at set per-share prices, while excluded shares were extinguished without consideration. In connection with the closing, Fonar moved to delist its common stock from Nasdaq as of June 3, 2026, intends to deregister and suspend SEC reporting, saw several directors resign at the effective time, and adopted an amended and restated certificate of incorporation, collectively marking its shift to a privately held structure with a revamped governance framework.
