On June 30, 2026, GreenPower Motor Company completed the third tranche of its Series A Convertible Preferred Share financing, issuing 1,500 preferred shares in a private placement for gross proceeds of US$1.425 million with an institutional investor under a previously established facility. On the same date, the company and the investor amended their agreement to increase the aggregate stated value of Series A Convertible Preferred Shares issuable by US$2 million, bolstering GreenPower’s funding capacity as it pursues its electric commercial vehicle strategy and supports ongoing operations.

Each Series A Convertible Preferred Share can be converted into common shares based on a formula tied to 105% of stated value and 125% of the prior day’s NASDAQ closing price, providing structured equity-linked financing while managing potential dilution. GreenPower will pay a 5% cash placement fee on the offering proceeds to Digital Offering LLC, underscoring the company’s continued use of capital markets and advisory channels to secure growth funding amid competitive pressure in the zero-emission commercial vehicle industry.
