GoPro Stockholders Approve All Proposals at Annual Meeting

GoPro ( (GPRO) ) has shared an update.

At its June 2, 2026 annual meeting of stockholders, GoPro reported that holders of Class A and high-vote Class B shares representing 82.40% of eligible votes were present, with both classes voting together on all items. Stockholders re-elected seven incumbent directors, ensuring continuity of board leadership under Chief Executive Nicholas Woodman and other existing members.

Investors also ratified PricewaterhouseCoopers LLP as independent auditor for fiscal 2026, approved the non-binding say-on-pay proposal, and backed an amendment adding 13 million shares to the 2024 Equity Incentive Plan, potentially increasing equity-based compensation capacity.
