(the "Lead Underwriter") as lead underwriter and sole bookrunner, and a syndicate of underwriters to be formed (together, the "Underwriters") pursuant to which the Company has launched a "bought deal" private placement of 8,335,000 common shares of the Company (the "Offered Shares") at a price of $1.20 per Offered Share (the "Offering Price") for aggregate gross proceeds of $10,002,000 (the "Offering").
