Hitachi has overhauled its executive equity compensation program by discontinuing its existing restricted stock scheme and replacing it with a globally standardized framework built around Restricted Stock Units (RSUs) and Performance Share Units (PSUs) for all Executive Officers, Corporate Officers, and certain group executives. The move aligns executive incentives more tightly with long-term corporate and shareholder value, supports a unified equity platform from executives to employees, and reinforces leadership accountability for sustainable value creation.
Under the revised structure, RSUs will vest in three annual tranches over three fiscal years, serving as the core long-term ownership mechanism to foster shared value creation between executives, employees, and shareholders. PSUs will deliver shares based on key performance indicators tied to Total Shareholder Return versus indices and global peers, as well as ROIC and sustainability targets under the “Inspire 2027” plan, with a 30/70 RSU-PSU grant ratio and potential additional awards for meeting financial and sustainability goals, thereby sharpening the pay-for-performance link in Hitachi’s global governance framework.
