Industrial and Commercial Bank of China ( (HK:1398) ) has issued an announcement.

Industrial and Commercial Bank of China Limited’s board met in Beijing on March 27, 2026, in a duly convened session with full director participation, to approve several changes aimed at strengthening governance and compliance oversight. The meeting confirmed adjustments to special board committees and advanced key financial reporting matters for shareholder review.

The board appointed Dong Yang as a member and vice chairman of the Audit Committee and named Zhong Mantao as a member of the Nomination Committee, with both abstaining from votes on their own appointments in line with governance norms. In a further move to bolster regulatory oversight, the board resolved that vice chairman Liu Jun will concurrently serve as the bank’s chief compliance officer, a decision endorsed by independent non-executive directors as compliant with relevant laws and internal rules.

The board also approved the bank’s 2025 audited accounts, clearing the way for these financial statements to be submitted to the shareholders’ meeting for consideration, underscoring ICBC’s focus on formalizing its financial reporting and governance framework. These decisions collectively reinforce ICBC’s board structure, internal control environment and compliance function, with implications for regulatory confidence and oversight of the bank’s expanding operations.
