International Flavors & Fragrances ( (IFF) ) has provided an update.
On June 23, 2026, International Flavors & Fragrances entered into a $1 billion senior unsecured delayed draw term loan facility with Wells Fargo and other lenders, available for a single U.S. dollar borrowing through September 25, 2026 and maturing on December 31, 2027. The loan, which cannot be reborrowed once repaid, will be used alongside cash on hand to refinance the company’s €800 million 1.800% Senior Notes due September 25, 2026, and bears interest tied to Term SOFR or a base rate with margins linked to public debt ratings.
The agreement includes a covenant requiring maximum net debt to consolidated EBITDA of 3.75 times and mandates prepayment of the term loan with 100% of net cash proceeds from the planned sale of the Food Ingredients business, expected to generate about $3.8 billion and close by the end of the second quarter of 2027. If the sale proceeds arrive before drawing on the facility, the commitments are automatically reduced, aligning the new financing with the company’s broader deleveraging and portfolio reshaping strategy while maintaining terms broadly consistent with its existing $2 billion revolving credit line.
