An announcement from iHeartMedia ( (IHRT) ) is now available.

At its annual meeting of stockholders held on June 4, 2026, iHeartMedia shareholders approved a second amendment to the company’s 2021 Long-Term Incentive Award Plan, significantly expanding its equity compensation capacity. The amendment increases the Class A common shares reserved for issuance and for incentive stock options under the plan to a total of 32 million shares each, and extends the ability to grant awards through June 4, 2036, with incentive stock options issuable until April 7, 2036.

The June 4, 2026 meeting, which saw approximately 83% of eligible Class A shares represented, also resulted in the election of eight directors to one-year terms and the ratification of Ernst & Young LLP as independent auditor for the 2026 fiscal year. Stockholders further approved, on an advisory basis, the compensation of the company’s named executive officers, reinforcing support for iHeartMedia’s governance, leadership, and long-term incentive structure.

Spark’s Take on IHRT Stock

According to Spark, TipRanks’ AI Analyst, IHRT is a Neutral.

The score is held back primarily by financial risk—high leverage with negative equity and recently weaker cash generation—despite improving operating performance. Technicals are supportive with price above major moving averages, and the earnings call reinforced a path to recovery via reaffirmed EBITDA/FCF targets and digital growth, but ongoing losses and leverage keep the overall profile moderate.
