Joby Aviation, Toyota launch joint venture for eVTOL manufacturing

Joby Aviation ( (JOBY) ) has issued an update.

On June 29, 2026, Joby Aero, a subsidiary of Joby Aviation, and Toyota Motor Corporation formed a Delaware joint venture, Joby Toyota Aero Manufacturing Preparation Company, to manufacture Joby’s S4 Series eVTOL aircraft, with Toyota owning 51% and Joby 49%. Governance is shared via a five-member board dominated by Toyota, while key strategic actions require consent from both parties under specified ownership thresholds.

The partners committed to negotiate an exclusive manufacturing supply agreement granting JTAMPC primary rights to build the S4 Series and setting detailed intellectual property-sharing arrangements between Joby, Toyota and the joint venture. The deal hinges on funding milestones, mandatory capital contributions and possible regulatory approvals, and includes extensive termination rights tied to FAA certifications, performance metrics, future agreements and Toyota’s additional $250 million investment tranche under a prior stock purchase agreement.
