On July 30, 2026, KKR Group Partnership L.P. and Kohlberg Kravis Roberts & Co. L.P., as borrowers under KKR & Co. Inc., entered into a Fourth Amended and Restated Credit Agreement with HSBC Bank USA as administrative agent, replacing a prior facility dated July 3, 2024. The new senior unsecured multicurrency revolving credit facility totals $3.0 billion, with an option to increase by up to $750 million, and matures on July 30, 2031, providing funding in U.S. dollars and other currencies for general corporate purposes.
The agreement includes a ratings-based pricing grid for term SOFR and alternate base rate borrowings, along with a facility fee tied to KKR’s corporate credit ratings. It is guaranteed by KKR & Co. Inc. and imposes financial covenants such as a maximum leverage ratio of 4.0x covenant EBITDA, excluding Global Atlantic’s indebtedness, and a requirement to maintain at least $195 billion in fee-paying assets under management.
Additional terms comprise customary affirmative and negative covenants, including limits on pledging subsidiary stock, and standard events of default that allow lenders to accelerate loans and terminate commitments. The flexible structure, including options to prepay, terminate or reduce commitments without penalty, reinforces KKR’s liquidity profile and capital structure while formalizing leverage and asset-management thresholds important to creditors and other stakeholders.
