LSEG wins strong noteholder backing to open bond issues to UK retail investors

London Stock Exchange ( (GB:LSEG) ) has issued an update.

London Stock Exchange Group has secured noteholder approval to modify the terms of three sterling bond series totalling £1.4 billion, including its 2030 notes and two LSEG Finance issues maturing in 2028 and 2032. The changes will reduce the minimum denomination to £1,000, enable the bonds to qualify as Plain Vanilla Listed Bonds eligible for purchase by U.K. retail investors, and allow holdings via CREST Depository Interests, potentially broadening the investor base and enhancing liquidity in its debt securities.

At virtual meetings held on 16 April, the extraordinary resolutions for each series passed with strong majorities, with up to 100 per cent of votes cast in favour on two tranches and implementation set for 20 April 2026. No consent or participation fees were offered, underscoring the strong institutional support for the adjustments, which may deepen LSEG’s access to domestic capital markets and offer retail investors new exposure to the group’s credit.
