London Stock Exchange Group plc and its subsidiary LSEG Finance plc have launched consent solicitations to amend three sterling bond series, including £500 million notes due 2030 and 2032 and £400 million notes due 2028, to reduce their minimum denomination from £100,000 to £1,000 and enable settlement via CREST depository interests. The changes are designed to qualify the bonds as plain vanilla listed bonds and Access Bonds under new UK public offer rules, broadening access to UK retail investors, improving secondary market liquidity, and aligning the group with regulatory efforts to deepen retail participation in UK capital markets, without altering cash flows for existing noteholders.
The initiative follows the implementation of the UK’s Public Offers and Admissions to Trading Regulations, which allow UK-listed issuers to tap wholesale and retail investors in a single bond line under wholesale disclosure standards. By restructuring all of its outstanding long-term sterling notes to be retail-eligible, LSEG positions itself to diversify its investor base and potentially lower funding costs over time, while offering existing bondholders the prospect of deeper markets and easier trading in these instruments.
