On May 26, 2026, Cheniere Energy Partners, L.P. entered into a purchase agreement with BofA Securities and other initial purchasers to issue $1 billion of 5.350% senior notes due 2036 and $750 million of 6.050% senior notes due 2056, both sold slightly below par. The notes are backed by guarantees from several Sabine Pass and Cheniere pipeline affiliates, and the transaction follows customary market terms and relationships with the underwriting banks.
Also on May 26, 2026, wholly owned subsidiary Sabine Pass Liquefaction, LLC delivered an irrevocable notice to redeem $1.5 billion of its 5.00% senior secured notes due 2027, with the redemption price set under the existing indenture’s make-whole formula. The redemption is to be funded with gross proceeds from the new senior notes and cash on hand, effectively extending the partnership’s debt maturities and potentially optimizing its capital structure for long-term operations at Sabine Pass.
