On June 10, 2026, Lumen Technologies and its wholly owned subsidiary Qwest Corporation reported the expiration and final results of Qwest’s exchange offers and related consent solicitations for its 6.5% notes due 2056 and 6.75% notes due 2057. The offers, which expired on June 9, 2026, swapped the outstanding bonds for new senior unsecured Qwest notes due 2051 and 2052 that carry the same coupon structure and are fully and unconditionally guaranteed by Lumen.
As part of the transaction, Qwest accepted hundreds of millions of dollars in principal of old notes for exchange, will issue an equivalent amount of new notes, and paid a modest cash consent fee to noteholders who supported amendments to the old indentures. Having secured the required majority consents in both series, Qwest will implement the indenture changes, deliver the new securities on June 11, 2026, and proceed with its plan to simplify reporting by de‑listing and de‑registering the old notes and ceasing separate SEC filings.
