Lyft ( (LYFT) ) has provided an announcement.
At its June 3, 2026 annual meeting, Lyft stockholders re-elected Class I directors David Risher, Deborah Hersman and Dave Stephenson to serve until the 2029 annual meeting and ratified PricewaterhouseCoopers LLP as the independent auditor for the fiscal year ending Dec. 31, 2026. Investors also approved on an advisory basis the compensation of named executive officers and recommended that future say-on-pay votes be held annually, a cadence the board has adopted until the next required frequency vote.
Shareholders further backed two amendments to Lyft’s Restated Certificate of Incorporation, voting to remove inoperative provisions, including references to Class B common stock, and to update miscellaneous provisions. They also approved an amendment to align the charter with Delaware law on officer exculpation, a governance change that may reduce certain legal exposures for executives while signaling continued evolution of Lyft’s capital structure and board oversight practices.
