At its February 19, 2026 annual meeting, Matthews International shareholders approved a comprehensive overhaul of the company’s Articles of Incorporation, including declassifying the board by 2028, adopting a majority-of-votes-cast standard in uncontested director elections, and eliminating certain supermajority voting requirements. Shareholders also re-elected directors Thomas A. Gebhardt, Aleta W. Richards, David A. Schawk and Francis S. Wlodarczyk, ratified Ernst & Young LLP as auditor for fiscal 2026, backed a restated incentive plan and executive pay on an advisory basis, and the board subsequently named director J.
