MGM Resorts Sets Voting Agreement Limiting IAC Influence

MGM Resorts ( (MGM) ) just unveiled an announcement.

On April 3, 2026, MGM Resorts International entered into a voting agreement with IAC Inc. and Barry Diller under which the group will vote any MGM shares they control above 25.73% of the company’s total voting power in proportion to how other shareholders vote on any matter, effectively limiting their ability to unilaterally influence shareholder decisions. The agreement remains in force as long as the covered entities hold at least 17.5% of MGM’s voting securities and the board continues to nominate up to two IAC-designated, qualified directors, and it also sets conditions under which Diller-affiliated entities are released from these voting restrictions once Barry Diller’s roles and ownership levels at IAC fall below specified thresholds, clarifying long-term governance dynamics for MGM investors.
