Newell Brands ( (NWL) ) has provided an announcement.

On August 5, 2026, Newell Brands Inc. announced that it had launched and priced a private offering of $600 million in senior unsecured notes due 2031, following an earlier plan the same day to offer $500 million of similar notes, with the transaction expected to close on August 19, 2026 subject to customary conditions. The notes are being sold only to qualified institutional buyers and certain non-U.S. investors under Rule 144A and Regulation S, and are not registered under U.S. securities laws.

Newell plans to use the net proceeds, together with cash on hand, to redeem in full its outstanding 6.375% senior notes due 2027, pay related fees and expenses, and repay a portion of borrowings under its five-year asset-based revolving credit facility dated July 30, 2026. The move represents a refinancing and balance sheet management effort that could lower near-term refinancing risk, extend debt maturities and modestly improve interest cost, although the redemption is conditioned on successful completion of the offering or alternative financing of at least $500 million on terms acceptable to the company.
