Organigram Global ( (TSE:OGI) ) has shared an announcement.
Organigram has closed its acquisition of Germany-based Sanity Group, a leading European pure-play cannabis company with operations across medical cannabis, regulated recreational pilots and wellbeing products in several European countries. The deal, priced at €107.3 million upfront in cash and shares with an additional earnout of up to €113.8 million tied to Sanity’s 2027 performance, significantly strengthens Organigram’s European platform.
To support the transaction, Organigram completed a €40.3 million private placement with a British American Tobacco subsidiary and secured up to C$60 million in senior secured credit facilities from ATB Financial. The financing mix, including the final deployment of Organigram’s BAT-backed Jupiter Pool and new revolving and term loans, enhances liquidity for the acquisition, potential earnout payments and general corporate needs, while adding Sanity’s regulatory expertise, distribution network and a new director to Organigram’s board.
