Oceaneering International ( (OII) ) just unveiled an update.
On July 6, 2026, Oceaneering International completed a $500 million private placement of 6.875% senior unsecured notes due July 15, 2034 to institutional and non-U.S. investors, establishing a new layer of long-term funding that ranks pari passu with its existing senior debt. The notes, issued under an existing indenture, carry customary covenants limiting secured indebtedness, sale-leaseback transactions, and certain corporate reorganizations, while allowing redemptions from 2029 onward at step-down call premiums.
On the same date, the company amended its senior secured revolving credit facility, increasing lender commitments from $215 million to $345 million, adding an $85 million upsize option, and extending the facility’s maturity from April 2027 to July 2031. The amendment also reduced interest margins on both base rate and Term SOFR loans, and, together with the new notes, satisfied the financing condition for Oceaneering’s previously announced cash tender offer, enhancing liquidity and financial flexibility to support ongoing operations and growth initiatives.

Spark’s Take on OII Stock
According to Spark, TipRanks’ AI Analyst, OII is a Outperform.
The score is driven primarily by improved financial performance (strong revenue/profit recovery and reduced leverage) and a reasonable valuation (P/E ~11.7). Technicals are supportive but mixed due to a negative MACD despite the stock trading above major moving averages. Earnings call factors add moderate support via reaffirmed guidance and strong order intake, but near-term profitability softness and negative quarterly free cash flow cap upside, while refinancing activity is a modest positive for maturity management.
