O’Reilly Auto ( (ORLY) ) just unveiled an update.
On August 14, 2026, O’Reilly Automotive, Inc. completed an offering of $1.6 billion in unsecured senior notes, issuing $700 million of 4.800% notes due 2029, $500 million of 5.050% notes due 2031, and $400 million of 5.550% notes due 2037 under its existing indenture with U.S. Bank Trust Company. The new notes rank equally with O’Reilly’s other unsecured senior debt, feature make‑whole and par call redemption terms, change‑of‑control repurchase rights, and customary covenants and default provisions that align the issue with the company’s broader capital structure and creditor protections.
The notes are not initially guaranteed by subsidiaries but could receive future guarantees if certain subsidiary debt arrangements are undertaken, with the company retaining the ability to release such guarantees under specified conditions. The trustee also participates in O’Reilly’s credit facility, and underwriters or their affiliates have existing and potential lending and banking relationships with the company, underscoring the integration of this financing into its wider banking and capital markets framework.
The most recent analyst rating on (ORLY) stock is a Buy

Spark’s Take on ORLY Stock
According to Spark, TipRanks’ AI Analyst, ORLY is a Outperform.
ORLY scores well on operating fundamentals and recent earnings-call momentum, driven by strong profitability, solid free cash flow, and raised full-year comps/EPS guidance. The main offset is financial risk from negative equity and rising debt, while valuation (P/E ~29) is a headwind and technicals are constructive but somewhat extended.
