Palo Alto Networks faces refinancing and liquidity risk because it has guaranteed the CyberArk Notes and may be required to make substantial cash payments upon conversion, repurchase after a fundamental change, or at maturity. If operating cash flows, existing liquidity, or third-party financing prove insufficient—or are restricted by other debt covenants or law—a resulting default under the Indenture could trigger cross-defaults and accelerated repayment across its broader capital structure.
