Qorvo has entered into a complex merger structure with Skyworks Solutions, under which Comet Acquisition Corp. will merge into Qorvo and, in a second step, Qorvo will merge into another Skyworks subsidiary, leaving the combined entity as a wholly owned unit of Skyworks. Those amendments will only become operative immediately before the mergers close or upon settlement of the relevant exchange offers, and will lapse if the mergers do not proceed, underscoring that the covenant relief and note realignment are tightly tied to the completion of Skyworks’ acquisition of Qorvo.
