Qorvo Advances Toward Skyworks Acquisition with Note Amendments

Tipranks - Sat Jun 13, 5:48AM CDT

Introducing TipRanks MCP for Agents

The latest update is out from Qorvo ( (QRVO) ).

Qorvo has entered into a complex merger structure with Skyworks Solutions, under which Comet Acquisition Corp. will merge into Qorvo and, in a second step, Qorvo will merge into another Skyworks subsidiary, leaving the combined entity as a wholly owned unit of Skyworks. In connection with this planned transaction, Skyworks has launched exchange offers to swap all outstanding Qorvo 4.375% senior notes due 2029 and 3.375% senior notes due 2031 for new Skyworks-issued notes of the same coupon and maturity, signaling a shift of Qorvo’s capital structure under Skyworks’ umbrella.

As of June 11, 2026, Qorvo had obtained the requisite consents from holders of both series of notes to adopt amendments that strip out most restrictive and affirmative covenants and certain events of default, and it executed supplemental indentures that are now effective and binding. Those amendments will only become operative immediately before the mergers close or upon settlement of the relevant exchange offers, and will lapse if the mergers do not proceed, underscoring that the covenant relief and note realignment are tightly tied to the completion of Skyworks’ acquisition of Qorvo.

According to Spark, TipRanks’ AI Analyst, QRVO is a Neutral.

The score is primarily driven by improving fundamentals—especially strong free cash flow and recovering profitability—tempered by several years of flat-to-down revenue. Technically, the stock shows a healthy uptrend (above key moving averages with positive MACD), while valuation is a restraint due to a ~27 P/E and no dividend yield support.
