REV Group Addresses Lawsuits, Supplements Terex Merger Disclosures

REV Group, Inc. reported that following the December 23, 2025 filing of its definitive joint proxy statement/prospectus for the planned merger with Terex Corporation, several shareholder lawsuits were filed in New York and Connecticut state courts in early 2026 alleging that the proxy materials omit material information about the transaction. The suits seek to enjoin the January 28, 2026 special shareholders’ meeting and/or consummation of the mergers, or alternatively rescission or damages, and both REV and Terex have also received demand letters calling for additional disclosures. While REV maintains that the allegations are without merit and that its disclosures comply with applicable law, the companies have chosen, without admitting liability, to voluntarily supplement the proxy statement with additional detail on the merger background, valuation analyses, financial projections, advisory fees and other metrics in order to reduce litigation risk and avoid delays to closing. The supplemental disclosures do not change the merger consideration or the timing of the special meeting, and REV’s board continues to recommend that shareholders vote in favor of the merger agreement and related proposals, underscoring management’s determination to keep the Terex deal on track despite the legal and disclosure challenges raised by some investors.
