(TSXV: ROOF) (OTCQB: ROOOF) ("Northstar" or the "Company") announces that it has closed the second and final tranche ("Tranche 2") of its previously announced US$10,000,000 non-brokered private placement (the "Private Placement") of unsecured convertible debentures (the "Convertible Debentures") for gross proceeds of US$1,000,000 (the "Private Placement").
