On May 22, 2026, Seabridge Gold reported that shareholders overwhelmingly approved a spin-out of its Courageous Lake gold project in Canada’s Northwest Territories into a new company, Valor Gold Corp. The special resolution for the plan of arrangement under the Canada Business Corporations Act passed with 99.76% of votes cast, and Valor’s equity incentive plan received 99.18% support.
Under the arrangement, Seabridge will transfer its full interest in Courageous Lake to Valor and distribute 55 million Valor shares to existing Seabridge investors at a ratio of one Valor share for roughly every 1.957 Seabridge shares. Completion of the transaction is targeted for around June 3, 2026, subject to court approval and other conditions, with Seabridge and Valor shares expected to begin trading under new structures on the TSX and NYSE shortly thereafter, requiring registered shareholders to complete exchange documentation to receive their new holdings.
