Seabridge Gold Completes Spin-Out of Valor Gold and Courageous Lake Project

Seabridge Gold ( (TSE:SEA) ) has shared an announcement.

On June 3, 2026, Seabridge Gold completed the spin-out of Valor Gold Corp., transferring its full interest in the Courageous Lake gold project in Canada’s Northwest Territories to the new company. Under a court-approved plan of arrangement, each existing Seabridge share was exchanged for a new Seabridge share and approximately one Valor share for every 1.957 Seabridge shares held, resulting in 55 million Valor shares outstanding.

Following the transaction, Seabridge’s old shares are scheduled to be suspended from trading on the TSX and NYSE after markets close on June 4, with new Seabridge shares relisting under the same tickers on June 5. Valor shares are expected to begin trading on the TSX on June 5 under the symbol VGC, a move that creates a separately listed vehicle for the Courageous Lake project and reshapes Seabridge’s asset portfolio and exposure for its shareholders.
