Soho House Completes Merger, New Financing and Delisting

Concurrently with the closing of its merger, Soho House & Co put in place a sizeable new capital structure, including a $220 million senior unsecured notes facility at the holding company level and a $695 million senior secured notes facility at the operating company, with tiered interest rates and non-call periods, while also amending and extending a £75 million super senior revolving credit facility to January 31, 2029 and fully repaying and terminating its prior notes agreement. The merger resulted in all pre-merger common stock being cancelled and converted into cash consideration, new voting arrangements for post-closing equity holders, a planned delisting of Soho House Class A common stock from the NYSE and suspension of Exchange Act reporting, and fresh equity injections totaling $300 million on January 26, 2026 from Momentum Solutions II, MCR Hospitality funds and Morse Ventures, alongside adjusted rollover stakes for Goldman Sachs–affiliated funds and major shareholder Richard Caring, reshaping the company’s ownership, leverage profile and public-market presence.
