State Street Boosts Liquidity With New Senior Notes Offering

On April 24, 2026, State Street Corporation issued $800 million of fixed-to-floating rate senior notes due 2032 and $700 million of fixed-to-floating rate senior notes due 2037 in a public offering, under an existing indenture structure with U.S. Bank Trust Company as trustee. The notes were sold under an underwriting agreement dated April 21, 2026 with a syndicate led by Morgan Stanley, Deutsche Bank Securities, Goldman Sachs and UBS, and Wilmer Cutler Pickering Hale and Dorr provided a legal opinion on the validity of the securities.

State Street expects to receive approximately $1.492 billion in net proceeds from the transaction after underwriting discounts and expenses, reinforcing its funding base and financial flexibility as a global custodian and asset servicer. The issuance of these senior notes extends the company’s debt maturity profile and underscores its continued access to capital markets, which is significant for bond investors and other stakeholders monitoring its capital structure and liquidity management.
