On January 20, 2026, Telefónica, S.A. and two wholly owned subsidiaries, Telefónica Emisiones, S.A.U. and Telefónica Europe, B.V., filed Forms 15F with the U.S. Securities and Exchange Commission to voluntarily deregister and immediately suspend their reporting obligations under the U.S. Securities Exchange Act of 1934, following a prior announcement made on December 17, 2025 of their intention to delist American Depositary Shares and certain series of debt securities from the New York Stock Exchange. The deregistration and full termination of these SEC reporting duties is expected to take effect 90 days after the filing, absent any objection by the regulator, marking a strategic retreat from U.S. public markets while the company continues to report its consolidated results under IFRS for investors in its other listing venues.
