Taylor Morrison ( (TMHC) ) has shared an announcement.
Taylor Morrison Communities, Inc., an indirect wholly owned subsidiary of Taylor Morrison Home Corporation, implemented a series of debt and credit agreement amendments in July 2026 to align its capital structure with a change of control tied to a merger with a Berkshire Hathaway affiliate. The company modified reporting obligations under its senior notes and adjusted change-of-control provisions in its credit facility to recognize the new Berkshire parent as a permitted holder, while leaving other indenture terms in place.
On July 24, 2026, Berkshire Hathaway completed its $72.50-per-share cash acquisition of Taylor Morrison, valuing the homebuilder at about $6.8 billion in equity and $8.5 billion in enterprise value, and triggering the conversion of TMHC shares and equity awards into cash. Following the closing, Taylor Morrison’s shares are being delisted from the NYSE and its SEC reporting obligations suspended, its charter and bylaws were restated, and its board reconstituted, with CEO Sheryl Palmer continuing to lead the company as it is integrated with Berkshire’s Clayton Properties Group to form one of the largest site-built homebuilding platforms in the U.S.
Under Berkshire’s ownership, Taylor Morrison and Clayton Properties Group together delivered nearly 23,000 site-built home closings in 2025, operate in 21 states and 52 housing markets, and serve more than 700 communities nationwide. The combined scale broadens Taylor Morrison’s reach across renter, entry-level, move-up and resort lifestyle segments, reinforcing Berkshire’s push into residential construction and creating a homebuilding platform that executives say is “unlike anything in the industry,” with potential implications for competition and consumer choice in key housing markets.
