USA Rare Earth ( (USAR) ) has issued an update.
On June 3, 2026, USA Rare Earth finalized definitive funding and loan guarantee agreements with the U.S. Department of Commerce under the CHIPS Program, giving it access to up to $1.6 billion tied to project milestones. The package includes $277 million in direct federal funding and $1.3 billion in senior secured loan capacity, largely earmarked for its Round Top rare earth mine in Texas and expanded metal and magnet production in Oklahoma and other U.S. locations.
Together with a $1.5 billion PIPE completed on January 28, 2026 and earlier raises, the deals lift total committed capital for USA Rare Earth’s growth plan to about $3.5 billion, while also granting the government equity and warrants in the company. The financing is intended to accelerate an integrated mine-to-magnet supply chain that would add large-scale domestic capacity in heavy rare earth mining, metal making and NdFeB magnet production, reducing U.S. reliance on foreign suppliers and reshoring critical inputs for semiconductor and other high-tech industries.
Under the agreements, funds will be disbursed in phases upon completion of feasibility, construction, production and customer-related milestones for multiple projects, with strict covenants, collateral requirements and potential clawbacks for non-compliance or delays. USA Rare Earth’s issuance of more than 16 million shares and 17.6 million warrants to the Department of Commerce introduces significant dilution but cements a deep public‑private partnership at a scale that could reshape the domestic rare earths and strategic materials landscape.
