USA Rare Earth ( (USAR) ) has provided an update.
On August 7, 2026, USA Rare Earth, Inc. completed a previously announced two-step merger with Texas Mineral Resources Corp., using two wholly owned merger subsidiaries to consolidate TMRC under USAR’s control. The transaction positions TMRC first as a wholly owned corporate subsidiary and then as part of a surviving limited liability company structure, streamlining USAR’s ownership and integration of TMRC.
Under the agreed terms, each outstanding share of TMRC common stock was converted into the right to receive 0.043279843 of a share of USA Rare Earth common stock, with cash paid in lieu of fractional shares. The share issuance to former TMRC stockholders was registered with the SEC, formalizing TMRC’s absorption into USA Rare Earth and reshaping the shareholder base while expanding USAR’s asset footprint in the rare earths sector.

Spark’s Take on USAR Stock
According to Spark, TipRanks’ AI Analyst, USAR is a Neutral.
USAR’s score is held back primarily by deep ongoing losses and weak price momentum (below key moving averages with negative MACD). These are partially offset by a low-leverage balance sheet, recently positive TTM cash flow, and earnings-call signals of significant committed/anticipated funding and defined operational scale-up milestones, albeit with meaningful execution and dilution risk.
