("CSAC") and all of the shareholders of CSAC (collectively, the "Vendors") dated May 8, 2025 (the "Purchase Agreement") to acquire the Cimarron Project in Sinaloa, Mexico, a property hosting a porphyry gold-copper system (the "Transaction").
